1. Acceptance of Terms & Electronic Contracting

By creating an account, clicking "Sign in", "Continue with Google", "Request Access", or otherwise using Tracost, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Refund Policy.

This electronic agreement complies with the Electronic Transactions Act, 2008 (Act 772) of the Republic of Ghana. If you are entering into these Terms on behalf of a company or legal entity, you represent and warrant that you possess the full authority to bind that entity.

2. Nature of Service & Scope

Tracost provides financial control, site cash allocation enforcement, supplier debt ledgers, split cost allocations, and digest automation tools for multi-site construction projects.

Operational Disclaimer: Tracost is a specialized construction cost tracking tool. It does not provide licensed architectural, structural engineering, formal statutory auditing, or tax advisory services. Organizations remain responsible for independently verifying on-site physical quantities and statutory filings.

3. Organization Workspaces, Roles & Security

Access to Tracost is compartmentalized by Organization workspaces. Each organization has designated administrators empowered to assign user roles (e.g., Project Manager, Operations Manager, Finance Controller, Director/CEO) and configure site-level spending limits.

• You must maintain the confidentiality of your login credentials and immediately report any unauthorized access.
• Field managers are strictly bound by the balance validation rules configured on their account.
• We reserve the right to suspend any user or organization that compromises system integrity or attempts unauthorized access.

4. Customer Data Ownership & Licensing

Your Data Remains Your Property: You and your organization retain 100% intellectual property ownership of all project budgets, transactions, vendor identities, receipts, debts, and team messages entered into Tracost.

You grant Tracost a limited, non-exclusive license solely to host, process, compute, backup, and display this data for the express purpose of providing the service to your organization. You may export your ledger records at any time.

5. Subscription Billing, Free Trial & Payments

Tracost offers free trial evaluation periods and recurring paid subscriptions:

• 7-Day Free Trial: New organizations may access a 7-day complimentary trial. Unless cancelled before the trial concludes, subscription billing commences automatically.
• Payment Processing: Payments are processed securely in Ghana Cedis (GHS) or US Dollars (USD) via Paystack Payments Ltd. (licensed by the Bank of Ghana). Tracost does not store raw payment card data.
• Cancellation & Refunds: Subscriptions can be cancelled at any time through Settings → Billing. Refund eligibility is governed strictly by our Refund & Cancellation Policy.

6. Acceptable Use Restrictions

You agree that you and your authorized users will NOT:

• Use Tracost for fraudulent financial reporting, money laundering, or unlawful transactions.
• Reverse engineer, decompile, or extract proprietary algorithmic logic from Tracost.
• Interfere with or compromise the security, rate limits, or availability of our cloud infrastructure.
• Transmit unsolicited promotional spam or unauthorized messages through our SMS or email digest pipelines.

7. Service Availability & Service Level Commitments

We aim for 99.9% uptime for cloud synchronization and automated digest delivery. However, we do not warrant that service will be uninterrupted or error-free during scheduled maintenance windows, third-party telecommunication failures, or local cellular outages on remote job sites.

8. Limitation of Liability

To the fullest extent permitted under applicable law, Tracost Technologies Ltd., its directors, officers, and affiliates shall not be liable for any indirect, consequential, special, punitive, or exemplary damages, or for loss of profits, business interruption, or lost data resulting from the use or inability to use the service.

In all circumstances, our aggregate liability arising under these Terms shall not exceed the total fees paid by your organization to Tracost during the twelve (12) months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, including the Electronic Transactions Act, 2008 (Act 772) and the Data Protection Act, 2012 (Act 843).

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith executive negotiations. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.
